Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY CREATING AN ACCOUNT OR USING INVOSHELF YOU AGREE TO BE BOUND BY THESE TERMS.

1. Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and GlazeDigital LLC, an Indiana limited liability company, governing your access to and use of InvoShelf at invoshelf.com and related mobile applications. By accessing or using the Service, creating an account, or clicking I Agree during registration, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Service

InvoShelf is a cloud-based inventory management platform designed to help businesses track inventory, monitor pricing trends, manage usage and pace, scan invoices, and generate reports. The Service is hosted on servers operated by or on behalf of GlazeDigital LLC and accessed through a web browser or installable Progressive Web Application (PWA). Features vary by subscription plan as described at invoshelf.com/pricing.

3. Account Registration

You must create an account with a valid email address and password. You must be at least 18 years old. You are responsible for maintaining the confidentiality of your credentials and all activity under your account. Notify us immediately at support@invoshelf.com if you suspect unauthorized access. GlazeDigital is not liable for losses from your failure to maintain account security.

4. Subscription Plans and Payment

InvoShelf is offered on a monthly or annual subscription basis. Fees are billed in advance. By providing payment information you authorize GlazeDigital to charge your payment method recurring subscription fees. Annual billing is charged as a single upfront payment equal to 10 months of the monthly rate. Payment processing is handled by Stripe Inc. GlazeDigital does not store your full credit card information. If a payment fails we will notify you by email and provide a 3-day grace period before restricting access. Subscription fees are generally non-refundable except for documented billing errors reviewed case by case within 30 days of charge.

5. Cancellation

You may cancel your subscription at any time through Account Settings > Cancel Subscription. No phone calls or emails are required — cancellation is self-service and takes effect at the end of your current billing period. You will retain full access through the end of the paid period. Your data will be retained for 30 days after your billing period ends, after which it will be permanently deleted. Before cancellation is finalized you will be offered the opportunity to download a complete export of all your data. GlazeDigital may suspend or terminate your account immediately without refund for violation of these Terms.

6. Referral Program

GlazeDigital offers a referral program allowing existing customers to earn account credits by referring new customers. Credits have no cash value and can only be applied to future InvoShelf invoices. Credits are earned when a referred customer signs up through your unique referral link and maintains a paid subscription for at least 30 days. Self-referrals are not permitted. New customers referred through a valid link may receive a discount on their first paid month as described at the time of signup. GlazeDigital reserves the right to modify or terminate the referral program at any time with reasonable notice. Earned unused credits will be honored for 90 days following any termination announcement.

7. Data Ownership and Backup

You retain full ownership of all data you enter into InvoShelf. GlazeDigital makes the following backup efforts on your behalf: daily automated server-side backups, offsite backup storage, and automated monthly backup emails on the 1st of each month. HOWEVER, YOU ARE STRONGLY ENCOURAGED AND RESPONSIBLE FOR MAINTAINING YOUR OWN INDEPENDENT COPIES OF YOUR DATA using the Export Data tools available at all times in your account. InvoShelf provides an Export Data button on the inventory page and in account settings at all times. GLAZEDIGITAL CANNOT GUARANTEE AGAINST DATA LOSS DUE TO CIRCUMSTANCES BEYOND OUR CONTROL. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLAZEDIGITAL'S LIABILITY FOR DATA LOSS IS LIMITED WHERE THE CUSTOMER WAS PROVIDED WITH EXPORT TOOLS AND MONTHLY BACKUP NOTIFICATIONS.

8. Acceptable Use

You agree to use InvoShelf only for lawful business purposes. You agree not to: attempt to gain unauthorized access to any part of the Service or another customer's account; reverse engineer or decompile the Service; use the Service to transmit malware or harmful code; interfere with the integrity or performance of the Service; scrape or harvest data using automated means without prior written permission; resell or sublicense access without prior written permission.

9. Intellectual Property

The Service, including all software, design, text, graphics, and logos created by GlazeDigital, is the exclusive property of GlazeDigital LLC protected by copyright, trademark, and other intellectual property laws. GlazeDigital grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes. You retain all intellectual property rights in your inventory data and other content you enter.

10. Third-Party Services

InvoShelf integrates with third-party services including Stripe Inc (payment processing), OpenAI LLC (voice input processing, invoice scanning, and item categorization), and Cloudflare Inc (content delivery and security). Your use of these services through InvoShelf is subject to their respective terms and privacy policies. GlazeDigital is not responsible for the practices of these third parties.

11. Disclaimers

THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE WITHOUT WARRANTIES OF ANY KIND. GLAZEDIGITAL DOES NOT GUARANTEE THAT THE SERVICE WILL BE AVAILABLE AT ALL TIMES OR FREE FROM ERRORS OR INTERRUPTIONS. WE MAKE REASONABLE EFFORTS TO MAINTAIN HIGH AVAILABILITY BUT CANNOT GUARANTEE UNINTERRUPTED ACCESS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GLAZEDIGITAL LLC AND ITS MEMBERS, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION. IN NO EVENT SHALL GLAZEDIGITAL'S TOTAL LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless GlazeDigital LLC and its members, officers, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Governing Law

These Terms shall be governed by the laws of the State of Indiana. Any dispute shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Indiana under AAA rules. YOU AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS ACTION.

15. Changes to Terms

GlazeDigital may modify these Terms at any time. We will notify you by email at least 30 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
